WITH Board Readiness Series, Part II – Adventures in Advocacy
Only about 20%of Fortune 500 board seats are held by women even though more than half ofmanagement occupations are held by women. According to the U.S. Government Accountability Office (GAO) andthe Equilar Gender Diversity Index (GDI), at this rate it will take 40 to 100 years to reach parity on American corporate boards. Yet, it has been shown that corporate board diversity increases the bottom line, lowers risk profile, and enhances a company’s reputation. Board members who bring different perspectives anddifferent skills and experiences can and will ask different questions, identify different opportunities for growth, and help a company keep pace in the rapidly changing marketplace.
At our February event, Olga V. Mack, a founder of the WomenServe on Boards movement, will discuss her adventures in advocacy, how she convinced over a dozen of Fortune 500 companies to recruit their first female corporate directors, and how she influenced the passage of California SB 826 that requires public companies headquartered in California to recruit women directors. She will share what she has learned in the process, the results she has achieved, how this impacted her career and in-house practice, and her vision for the future.

It’s been five years since the ABA created an ethical duty of technology competence. In the years since, a majority of states have adopted this duty, yet most lawyers still have little understanding of the scope of this duty and what it means for the day-to-day practice of law. Courts and ethics panels have provided little guidance, and many lawyers still lack basic competence in legal technology. On October 11, ATL and presented a webinar for the relatively tech-savvy lawyer who strives to meet and exceed his or her duty of competence and is interested in the ever-evolving implications of the duty as it relates to actual practice, with a particular focus on eDiscovery. Webinar moderator Bob Ambrogi was joined by expert panelists to do the following:

Board members who bring different perspectives and different skills and experiences can and will ask different questions, identify different opportunities for growth, and help a company keep pace in the rapidly changing marketplace.
Nevertheless, certain groups are statistically underrepresented in the boardroom. For example, women currently hold only approximately 20% of board seats at Fortune 500 companies. Lawyers, who often have extensive involvement in the boardroom and savvy business acumen, don’t fare much better in actually earning a seat at the table.

A strong business case has been made for companies to act responsibly and embrace corporate citizenship, human rights, and sustainability. In a growing number of companies, lawyers are starting to play meaningful roles in advancing corporate responsibility. In too many others, the “siloing” of the legal function from this key corporate strategy prevents companies from advancing corporate responsibility initiatives.
In light of this growing need in the legal profession, Berkeley Law has started an initiative to create curriculum and programs on the role of the lawyer in corporate responsibility. We have partnered with the United Nations Global Compact and Linklaters to build upon The Guide to General Counsel on Sustainability.
Developing curriculum in this emerging area requires the expertise of inside counsel whose roles increasingly intersect with corporate responsibility. Therefore, we are inviting inside counsel who have leveraged their role to advance corporate responsibility to be Berkeley Law Fellows. This group will function as a “think-tank” on the role of the lawyer in corporate responsibility.
Berkeley Law is working with the the Aspen Institute to launch this “think-tank” during a weekend retreat from April 28-30th at the Greentree Estate in Manhasset New York (on Long Island).
This fellowship program will include:
Recognition on Berkeley Law’s website as a thought-leader in corporate responsibility.
The ability to work with Berkeley Law to develop curriculum in this growing area of law. This curriculum will be comprised of business school type “case studies” that will feature examples where your legal team has led corporate responsibility initiatives. Berkeley Law will publish and promote these case studies, and use them to create shorter articles and “practitioner” guides for practicing lawyers around the world.
