WITH Board Readiness Series, Part II – Adventures in Advocacy

Only about  20%of Fortune 500 board seats are held by women even though more than half ofmanagement occupations are held by women. According to the U.S. Government Accountability Office (GAO) andthe Equilar Gender Diversity Index (GDI), at this rate it will take 40 to 100 years to reach parity on American corporate boards. Yet, it has been shown that corporate board diversity increases the bottom line, lowers risk profile, and enhances a company’s reputation. Board members who bring different perspectives anddifferent skills and experiences can and will ask different questions, identify different opportunities for growth, and help a company keep pace in the rapidly changing marketplace.

At our February event, Olga V. Mack, a founder of the WomenServe on Boards movement, will discuss her adventures in advocacy, how she convinced over a dozen of Fortune 500 companies to recruit their first female corporate directors, and how she influenced the passage of California SB 826 that requires public companies headquartered in California to recruit women directors. She will share what she has learned in the process, the results she has achieved, how this impacted her career and in-house practice, and her vision for the future.

What Directors Need to Know About Blockchain

Blockchain. AI. Cryptocurrency. We all hear the words, we all know they have the potential for huge benefits and/or drawbacks. But with only a vague understanding, what do we actually DO about them? How do these technologies impact businesses and the boardroom? Gain a better understanding of how they will be influencing the future of business decision-making.

Blockchain beyond 101

What implications does blockchain have beyond its engineering and technicalities? How does this invisible, back-end technology permeate our day-to-day lives? Has it achieved actualization beyond the pilots and proof-of-concepts, or is it at the trough of disillusionment as per the Gartner Hype Cycle? This panel is an attempt to uncover blockchain’s potential beyond the what is blockchain: on-the-ground practicalities of blockchain as applied by industry, legal practitioners, and policy makers.

Many blockchain startups and large enterprises are pursuing a wide range of applications, from supply chain management, to peer to peer payments, to personal data ownership and protection, and health care. Which use cases seem more promising and less promising? Why? What are the major challenges —  such as liquidity of their tokens — that blockchain companies and initiatives face? What You Can Do Today to Become a Board Member

Password: 0425Olga

The process of becoming a director may seem mysterious and magical – as if an invisible hand takes a few select professionals and gives them a corporate board seat.

This, of course, is a myth. The reality is much more intentional than magical. In fact, clear intention, educated choices, coherent strategy, time investment and flawless execution are all you need to eventually make your director dream a reality.

In this webinar, board expert and Watermark Make Your Mark Advocacy Award winner Olga Mack will address five questions that most professionals have in the beginning of their journey:

What are the key responsibilities of a board of directors?
What type of board opportunities exist?
Why serve on a corporate board of directors?
How do you land a corporate board position?
What are the best ways to build great relationships that can lead to a corporate board seat?

Webinar: Understanding The Duty Of Legal Technology Competence

It’s been five years since the ABA created an ethical duty of technology competence. In the years since, a majority of states have adopted this duty, yet most lawyers still have little understanding of the scope of this duty and what it means for the day-to-day practice of law. Courts and ethics panels have provided little guidance, and many lawyers still lack basic competence in legal technology. On October 11, ATL and presented a webinar for the relatively tech-savvy lawyer who strives to meet and exceed his or her duty of competence and is interested in the ever-evolving implications of the duty as it relates to actual practice, with a particular focus on eDiscovery. Webinar moderator Bob Ambrogi was joined by expert panelists to do the following:

Explore the boundaries of the duty of technology competence;

Provide an understanding of the history and purpose of the duty;

Explore the practical impact of the duty of competence on the practice of law; and

Discuss the interplay between the duty of competence and eDiscovery issues.

Protecting Against Petya: Ransomware and the Future of Law Firm Cybersecurity

About The Webinar

In June, a massive cyberattack brought down one of the country’s biggest law firms. DLA Piper, its systems ravaged by the Petya ransomware program, was forced to shut down its phones service, email, and internal computer network–potentially costing millions in lost income. Weeks later, the firm was still digging itself out.

Such attacks are increasingly an existential threat to firms of all sizes: the difference between being billing and nothingness. Join us as we discuss this urgent issue.

Attendees will learn:

The recent history of cyberattacks against law firms large and small

The potential consequences of a successful attack

Cybersecurity protections GCs demand from their outside counsel

Ways attorneys can protect themselves against ransomware and other cyberattacks

Pursuing a Corporate Board Position

May 2, 2017

San Francisco, California

It has been shown that corporate board diversity increases the bottom line, lowers risk profile, and enhances a company’s reputation. Board members who bring different perspectives and different skills and experiences can and will ask different questions, identify different opportunities for growth, and help a company keep pace in the rapidly changing marketplace.

Nevertheless, certain groups are statistically underrepresented in the boardroom. For example, women currently hold only approximately 20% of board seats at Fortune 500 companies. Lawyers, who often have extensive involvement in the boardroom and savvy business acumen, don’t fare much better in actually earning a seat at the table.

Carly Alameda and Olga Mack invite you to join them for a conversation addressing the opportunities, challenges, and strategies for pursuing a corporate board position. They will share what they learned over their year-long journey interviewing board recruiters, CEOs, GCs, and current board members for their recently completed electronic book
All [A]Board: Insights and Inspirations for Your Journey to and in the Boardroom.

The event will also feature special guest SC Moatti, managing director of The Angels’ Forum and founder of Products That Count, who will contribute her perspective on joining and succeeding in the corporate boardroom.

Saturday, April 29th,1-2:30pm – Data Privacy as a CSR Risk and Opportunity – Justin Erlich, Data Privacy Expert and Lecturer at UC Berkeley School of Information & Olga Mack, General Counsel of Clearside

A strong business case has been made for companies to act responsibly and embrace corporate citizenship, human rights, and sustainability. In a growing number of companies, lawyers are starting to play meaningful roles in advancing corporate responsibility. In too many others, the “siloing” of the legal function from this key corporate strategy prevents companies from advancing corporate responsibility initiatives.

In light of this growing need in the legal profession, Berkeley Law has started an initiative to create curriculum and programs on the role of the lawyer in corporate responsibility. We have partnered with the United Nations Global Compact and Linklaters to build upon The Guide to General Counsel on Sustainability.

Developing curriculum in this emerging area requires the expertise of inside counsel whose roles increasingly intersect with corporate responsibility. Therefore, we are inviting inside counsel who have leveraged their role to advance corporate responsibility to be Berkeley Law Fellows. This group will function as a “think-tank” on the role of the lawyer in corporate responsibility.

Berkeley Law is working with the the Aspen Institute to launch this “think-tank” during a weekend retreat from April 28-30th at the Greentree Estate in Manhasset New York (on Long Island).

This fellowship program will include:

Recognition on Berkeley Law’s website as a thought-leader in corporate responsibility.

The ability to work with Berkeley Law to develop curriculum in this growing area of law. This curriculum will be comprised of business school type “case studies” that will feature examples where your legal team has led corporate responsibility initiatives. Berkeley Law will publish and promote these case studies, and use them to create shorter articles and “practitioner” guides for practicing lawyers around the world.

The ability to participate in presenting at courses at Berkeley Law so that students can benefit from your expertise.

The ability to participate in a round table of this inside counsel “think-tank”.

At the Intersection of Law and Technology: Women Leading

Plenary, Women Leading at the Intersection of Law and Technology

Some of the most successful women lawyers today are working at the intersection of law and technology, and our conference location here in San Francisco is ground zero for that new frontier. This plenary session will focus on the contributions women lawyers are making in Silicon Valley and the Bay area, and will explore the intersection of law and technology, and what the future is likely to hold for our law students and lawyers. How is technology likely to change the practice of law and business in the next decade? What skills do our newest lawyers need to navigate this new landscape? What does the next generation of women lawyers in particular need to do to ensure their place in the leadership ranks of leading law firms and corporations? Does the need for efficiencies and systems and lower costs lead to a scarcity of opportunities for new lawyers, or provide new opportunities? This session will provide a close look at legal careers on the cutting edge of the new economy.

Insights on Women and Boards

Only  20.2% of Fortune 500 board seats are held by women even though more than half of management occupations are held by women, and there are still about 19 Fortune 500 companies with all-male boards! According to the U.S. Government Accountability Office (GAO) and the Equilar Gender Diversity Index (GDI), at this rate it will take 40 to 100 years to reach parity on American corporate boards. In the face of these challenges, groups like Women Serve on Boards are fighting to see more female role models and leaders at every level of corporate leadership.  At our March event, Olga Mack, CLUB member and founder of the Women Serve on Boards movement, will introduce the movement, discuss what she has learned, the results she has achieved, and her vision for the future.  Learn how you can help improve these grim statistics and step up your career – start your board-readiness journey with this engaging event.

Getting the Board on Board: Explaining Privacy and Security Risks to the Board (When the “If” Becomes “When”)

In today’s digital world, it is no longer a matter of if most companies will face a data breach but when. Given this exposure and risk to a company’s valuable assets and information, the board of directors’ duty of oversight must include a focus on cybersecurity. In-house counsel can and should play a key role in facilitating the board’s work on this front. This panel will provide insights and practical tips regarding how in-house counsel can help the board more effectively engage with and implement a company’s cybersecurity efforts. The discussion will cover how in-house counsel can help address the board’s structure, education and training, the board’s role in planning for a breach, and its role in responding to a breach and its aftermath.

Your Legal Team’s Role in Cybersecurity Awareness & Defense

Cybersecurity is more than just an IT issue for an organization – it is an enterprise risk issue. An in-house lawyer’s role in cybersecurity awareness and defense should begin long before an actual breach. This creates an opportunity for legal and security teams to work together to mitigate an organization’s cybersecurity risk.

Cyber-heist your corporate mindshare: How to engage the c-suite and board

Privacy and security risks continue to rise in the level of the consciousness of customers, employees and more recently CEO’s and board members. Concisely communicating both the risks and benefits of global privacy, cybersecurity, and data protection issues to C-suite executives and board members can seem daunting given the common confusion on the scope of information governance, the challenges of rapidly developing global laws, and the assumptions created from reading juicy headlines about data breaches. Yet privacy and security practices have become integral components of corporate governance, accountability, product development, risk management, and brand cultivation and protection in today’s business environment. In this interactive session, you will learn how to communicate the top privacy and security issues to busy executives in a persuasive way that puts them in the larger context of corporate governance, global laws, policies, audits, liability (corporate and personal), attorney-client privilege, and more, for large and small companies.

What Is It About Law?

A conversation about moving the needle on diversity in the legal profession.

Women constitute over a third of the legal profession but only about a fifth of law firm partners, general counsel of Fortune 500 companies and law school deans. In fact, according to the American Bar Association (ABA) only two professions have less diversity than law.
Even women who never take time away from the labor force and who work long hours are statistically less likely to make partnership than similarly situated men in Big Law.
In celebration of International Women’s Day on 8 March, join us for a lively discussion about moving the needle on diversity in the legal profession with Professor Deborah Rhode, the Ernest W. McFarland Professor of Law, director of the Center on the Legal Profession and the director of the Program in Law and Social Entrepreneurship at Stanford University. Professor Rhode will provide an overview of the current state of female leadership in the profession and make practical recommendations for evolving stated commitment to diversity in your organization into daily practices and priorities.
